Web Direct Studio

1. Contract: The initiation deposit paid for your project constitutes a contractual agreement between the client (hereby called 'The Client') and Web Direct Studio (hereby called 'WDS') and is mutually binding by the stipulated Terms and Conditions stated here referring to the The Work.

2. WDS Intellectual Copyright: All material generated by and created as part of The Work including text content, files and images on behalf of The Client will be protected under the intellectual copyright and Intellectual Property Right (IPR) acts. WDS shall exercise its rights under the IPR act until final payment whereby upon agreement all usage  rights shall pass to The Client. WDS shall retain the rights to display and use the whole or parts of The Work and exercise its right as creator to promote its image and services through discreet marking through The Work. The Client can request that WDS waive its right to promotional markings upon The Work for an additional fee.

3. Clients Responsibilities with Regard to Copyright: It is the sole responsibility of The Client to ensure that any images, text, animations or any other content they provide to be used in the creation of The Work is either free of copyright claims by third parties or its copyright is owned entirely by The Client. WDS can, upon request by The Client provide images for illustration either from its own library of archives or through purchase from third party photostock libraries, under a single-use license. This arrangement can be extended upon further agreement with The Client.

4. Registration Charges: WDS can arrange for domain name registration and hosting on its own servers at a nominal cost as a measure of convenience to The Client. Where domain names have been registered by WDS on behalf of The Client WDS can and will transfer all registration to The Client upon request. Provided the nominal charge has been levied for the service WDS will effect the transfer without any further charge.

5. Search Engine Promotion: Search Engine promotion, in website projects is subject to a separate agreement. Websites built by WDS are automatically on-page search engine optimised for fast indexing.

6. Cancellation. A project can be cancelled for any reason at any stage of the project by The Client notifying WDS through email or written communication. The Client will then be liable for all costs incurred as part of The Work until the point of receival of the notice of cancellation and shall be invoiced by WDS accordingly.

7. Project completion deadlines. As part of The Work, The Client is directly responsible for providing the material needed for the completion of The Work. The Work is deemed completed when all the technical specifications provided under the Functionality Agreement supplied by WDS have been executed. Where content and other requested material for The Work has been delayed by The Client, WDS reserves th right to invoice The Client for The Work and host The Work in their servers at their discretion until such a time as The Client is able to supply the needed material.

8. Quotations. WDS quotes are governed by Functionality Agreements and their cost is fixed within the strict parameters defined by these agreements. WDS guarantees that costs are immutable as long as the Functionality Agreement parameters are maintained. Requests by The Client which exceed the Functionality Agreement parameters are subject to additional cost. WDS will always submit a detailed explanation to The Client for all such costs.

9.Project Initiation Payment. WDS will request a payment of 50% for the initiation of The Work. The advance for The Work constitutes a non-refundable payment and it stipulates a binding acceptance of the Terms and Conditions of WDS governing the execution of The Work.

11. Payment. Payment of any balance will be due within 10 days of final invoice date. Full publication of The Work will take place only after the final invoice has been submitted by WDS to The Client.

12. Late Payment. Accounts that have not been settled within 7 days of our final reminder will incur a late payment charge of 10% of the amount outstanding. You will also be charged statutory interest of 8% above the reference rate (fixed for the six month period within which date the invoices became overdue) pursuant to the UK late payment legislation.

13. Future Support. The Work is provided to The Client and accepted by the client as a fully functioning, completed work. Once The Work is handed to The Client WDS will be responsible for future, additional support, only under a separate agreement, not linked to The Work.

14. Compliance with Ecommerce, Accessibility or Other Regulations. The completion of The Work is governed by the Functionality Agreement and close consultation, within the parameters of this agreement, with The Client. It is the sole responsibility of The Client to ensure that the website and its content comply with standing regulations.

Notes:

Should WebDirectStudio waive any of these terms on an individual basis, this shall not affect the validity of remaining clauses or commit TWD to waive the same clause on any other occasion.
